Terms of Service

1. Agreement to Terms

By engaging Digital 4 Jesus LLC ("we", "us", "our") for OpenClaw VPS setup or managed services, you ("client", "you") agree to these Terms of Service. If you do not agree, please do not use our services.

2. Services Provided

We offer the following services:

• Basic Setup ($199): OpenClaw installation, Ubuntu server hardening, single channel configuration, and setup documentation.
• Pro Setup ($399): Everything in Basic plus Supermemory cloud memory integration, 6 layer persistent memory architecture, multi channel setup, OAuth configuration, and 30 days email support.
• Managed Plan ($99/month): Ongoing system updates, uptime monitoring, memory system maintenance, channel management, priority support, and monthly health reports.

3. Client Responsibilities

To enable us to deliver our services, you agree to:

• Provide a VPS meeting minimum requirements (Ubuntu 24.04, 2+ GB RAM, 2 vCPUs, 20 GB storage)
• Provide temporary root or sudo access to the VPS for setup
• Provide valid API keys (Anthropic, OpenAI, or other LLM providers) as required
• Provide channel credentials (Telegram bot tokens, WhatsApp linking, Discord bot tokens) as applicable
• Respond to setup related communications in a timely manner
• Maintain your own VPS subscription and API key payments

4. Payment Terms

• Setup fees (Basic and Pro) are one time payments due before work begins
• Managed plan fees are billed monthly in advance
• All prices are in US Dollars (USD) unless otherwise agreed
• Payment methods are communicated during the consultation process

5. Refund Policy

If we are unable to complete the agreed upon setup due to a fault on our side, we will issue a full refund. If the setup is completed as described but you are unsatisfied, we will work with you to resolve the issue within the first 14 days after handover. Refunds are not available for completed setups where the service was delivered as described.

Managed plan subscriptions can be cancelled at any time with 30 days notice. No refunds are issued for partial months.

6. Intellectual Property

OpenClaw is open source software licensed under the MIT License. We do not claim ownership of the OpenClaw framework or any open source components used in the setup. Custom configuration files, documentation, and scripts created during setup are provided to you with full usage rights for your personal or business use.

7. Disclaimer and Limitation of Liability

• We are an independent service provider and are not affiliated with, endorsed by, or officially connected to the OpenClaw project or its creators.
• We provide services "as is" based on the current state of the OpenClaw framework. We cannot guarantee compatibility with future OpenClaw updates.
• We are not responsible for costs incurred from third party services (VPS hosting, API usage, domain registration).
• Our total liability for any claim related to our services shall not exceed the amount you paid for the specific service in question.
• We are not liable for data loss on your server. We recommend maintaining your own backups.

8. Server Access and Security

During setup, we require temporary administrative access to your VPS. Upon completion:

• All setup credentials are rotated as part of the handover process
• Our access is revoked unless you are on the Managed plan
• Managed plan access is limited to maintenance tasks only
• You can revoke our access at any time by changing your server credentials

9. Support

• Basic: Setup documentation provided. No ongoing support included.
• Pro: 30 days email support after handover for setup related questions.
• Managed: Priority email support included for the duration of the subscription.

Support is provided via email at dewaldt@digital4jesus.com. Response times are best effort, typically within 24 hours on business days.

10. Termination

Either party may terminate the service agreement at any time. For one time setups, the agreement concludes at handover. For Managed plans, termination takes effect 30 days after notice. Upon termination, we will revoke any remaining server access and provide any outstanding documentation.

11. Governing Law

These terms are governed by the laws of the State of New Mexico, United States. Any disputes will be subject to the jurisdiction of the courts of New Mexico.

12. Changes to These Terms

We reserve the right to update these terms at any time. Changes will be posted on this page with an updated revision date. Existing service agreements will continue under the terms in effect at the time of engagement unless both parties agree to the updated terms.
